These Terms of Service (“Terms”) govern your use of Gipsy’s websites, services, and any associated features or content (collectively, the “Services”) provided by Gipsyint de Mexico, S.A. de C.V., Corporación Gipsy de Venezuela, C.A., and Gipsy International II Corp. (collectively, “Gipsy,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

To the fullest extent permitted by law, Gipsy shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from or related to your use or inability to use the Services, even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of liability, our liability shall be limited to the extent permitted by law.

7.3 Indemnification

You agree to indemnify, defend, and hold harmless Gipsy, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from or related to your use of the Services, any violation of these Terms, or any violation of applicable law or regulation.

8. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that could harm Gipsy or other users. Upon termination, all rights granted to you under these Terms will immediately cease.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the respective countries where each entity operates, as follows:

• Mexico: For Gipsyint de Mexico, S.A. de C.V., governed by the laws of Mexico.
• Venezuela: For Corporación Gipsy de Venezuela, C.A., governed by the laws of Venezuela.
• United States: For Gipsy International II Corp., governed by the laws of the state of Florida, United States.

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of the respective jurisdictions.

10. Dispute Resolution

In the event of any dispute arising from or related to these Terms, you agree to first attempt to resolve the dispute informally by contacting us at hello@gipsy.mx or hello@grupogipsy.com. If the dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the rules of the jurisdiction in which the applicable Gipsy entity is located.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced by a valid provision that most closely approximates the intent of the original provision.

12. Entire Agreement

These Terms constitute the entire agreement between you and Gipsy regarding the use of the Services and supersede any prior agreements, representations, or understandings, whether written or oral, relating to the Services.
